Name
  1. The name of the Society shall be Bangladesh Food and Nutrition Society (BFNS)

 

  1. The Registered office.

The Registered office of the Society is situated at House-26, Road-5, Block-B, Banosree, Rampura, Dhaka-1219, and Bangladesh. The registered office may be shifted and open branch office any where in Bangladesh as per decision of the Executive Committee.

 

iii.       Aims and Objectives of the Society

The objects for which the Society is established are all or any of the following:

 

All the objects will be implemented after obtaining necessary permission of the                    Government/ Concerned authority/competent authority and the objects contrary to the                provision of section 20 of the Society Registration act 1860 shall be treated as                  ineffective.

 

iv        Nature of the Society

It is a non-profitable, non-government, non-political, Voluntary and charitable                      organization.

 

           Aims, Objectives and Activities :

 

  1. To create mass awareness about sound health nutrition among the people of Bangladesh. Also to promote integrated child development scheme in order to reduce malnutrition and promote awareness about safe food health and nutrition.
  2. To promote the health of children through comprehensive range of primary health care service like universal immunization programme, child survival and safe motherhood programme, and other health related programmes which are consistent with the recommendation of UNICEF. Also develop a community based, low cost comprehensive health care programme for mothers.
  3. To organize woman for initiating group action programmes in health, family planning, income generating, educational, community work and to maintain good family and protect them from social evils like dowry, bride burring and other atrocities on woman.
  4. To promote the maintenance of safe food, proper nutrition through various programmes. Also to work with young people and student for fulfilling the aims and ideals of the united nations to strive for national and international integration for economic, Social and cultural Justice. Farther to establish scholarship and grand prizes awards, diplomas and certificate course on Nutrition and proficiency and qualification in connection with Nutrition.
  5. To help develop the members to carry out business with marketing for all type of high quality Nutritional supplement, Natural supplement, food supplement, nursing and Health care product, skin core products and all type of Health and Beauty products.
  6. To carry out and develop among all the members of internet service, communication service, information service, dissemination program, News letter, news magazine, newspaper, develop of documentary, publicity.
  7. To carry out project and programmes with government, local and international donor agencies, multinational companies to develop awareness, campaign for mass people about health hazardous food, harmful chemical, toxins, formalin, Adulterated food and other harmful things to human.
  8. To conduct, hold, organize seminar, workshop, symposium, focus group discussion, of safe food, health and Nutrition related issues.
  9. To train or pay for training in Bangladesh or abroad of any the society member, employees or any other person in the interest and for the furtherance of the society.
  10. To carry out-program about safe food, environment nutrition and health hazard issues.
  11. To create mass awareness about Bio fertilizer and Bio-Engineering.
  12. To arrange take up training activities of all of the members to develop their skills of health and nutrition.
  13. The executive committee will be able to include any programme consistent with the aims and objectives of the society.
  14. To carry on project of plantation of Nutritional and Medical plant.
  15. To carry on product fair, exhibition. Campaign for implementing project.
  16. To carry on a project to set up instrument in all the market to check adulterated, harmful chemical and formalin in food.
  17. To carry out initiative for Training course, workshop, short course, diploma in Nutrition and food science.
  18. To take initiative of Nutrition garden as well as Roof Gardening.
  19. To arrange talkshow, song, recitation, drama about safe food and nutrition.
  20. To make leaflet, billboard, banner on food and nutrition.
  21. To establish school, college, institution university.
  22. To arrange essay and general knowledge competition on food and Nutrition.
  23. To help the members for taking projects on diversified agricultural product, poultry, dairy, fisheries and others.
  24. To make a logo for society’s pad and make a flag for society’s office and car.
  25. To carry on all type of programs and projects for the developments of quality life of the people of Bangladesh.
  26. To carry out programs against smoking.
  27. To work with government corporate office, bank and other financial organization to arrange fund for Nutrition and other Nutrition related projects.
  28. To undertake training and orientation programmes on food and nutrition and to       propagate and publicise such programmes in the media.

 

  1. To organize a core team for imparting training to the members and the target people of BFNS       and also to mould trainers for the sake of expansion and dissemination of such training                  programmes.

 

  1. To build up, organize and strengthen grass root networks for launching media awareness         programmes.

 

  1. To induct and involve local journalists and NGOs in launching national and local media           awareness programmes and also to implement such programmes on food and nutrition in collaboration with the media and NGOs.

 

  1. To gather field experiences and thereby to incorporate such experiences and expertise in         making out design for media programme plan with a view to ensuring effective dissemination          of information and community participation in sound health, safe food and proper nutrition.

 

  1. To liase with the members of parliament and other elected representatives of the people to         different local bodies and to motivate and orient them on food, nutrition and public health and media intervention.

 

  1. To impart training to key people and others involved in public health, food and nutrition and media intervention.

 

  1. To build and strengthen the capacity of the existing television systems to enhance             information gathering processes and analytical processes.

 

  1. To create small scale production on the basis of field experiences and to broadcast and        telecast such productions for promoting effective dissemination of information on public health, food and nutrition

To keep constant watch and vigilance for providing and extending information benefits to the      marginalised population like children, women, marriage Media, and minority communities who              deserves such benefits.

 

  1. To develop productions for ensuring accountability in environmental protection and health     services.

 

  1. To develop media outlet for people’s views and opinions on public health, food and nutrition so that a very large audience including the policy makers can be conversant with the public opinion.

 

  1. To mobilize national and international resources to produce appropriate and innovative media     and TV programmes public health, food and nutrition.

 

  1. Income:

The income and property of the Society whatsoever derived shall be applied solely towards the promotion of the objectives and the purposes of the Society as set forth in this memorandum and no portion hereof shall be paid or transferred directly of indirectly by way of dividend, bonus, or salary honorarium pocket money profit or otherwise howsoever to the persons who are members of the Society or to any person claiming through any of them provided that nothing herein contained shall prevent the payment in good faith employed staff or officers of the Society or other person in return for any services actually rendered to the Society or to any of the objectives for which the Society is established other than the members of the Society.

 

 

  1.     Fund Mobilization and Utilization:

 

  1. Accept donations, cash or kind, from any person, institution, society, NGOs, Society companies from home or abroad and will use the same towards the promotion and maintenance of the objectives of the Society may deem expedient for the fulfilment of its objectives, provided that the Society shall not receive any foreign donation without undergoing the formalities as laid down in the Foreign Donation (Voluntary Activities) Regulations Ordinance (Ordinance No. XLVI of 1978) and the Foreign contributions (Regulation) Ordinance (Ordinance No. XXXI of 1982) as amended from time to time.

 

  1. Pay out the funds of the Society or out of any particular part of such funds all expenses incidentals to the formation and management of the Society or of administering any special trust or otherwise carrying out of any for the forgoing objects including the payments for the salaries to persons employed.

 

  1. Procure donation, subscription, land Building, furniture of other properties as officials                                grants, participation in seminar, workshop or training & national or foreign help.

 

vii.      Winding up:

Before winding up of the Society all its liabilities will have to be settled and the remaining portion (if any) shall be transferred as per 3/5th votes of the members present in the extra ordinary general meeting of the Society.

 

viii.      Management:

 

           The Management affairs of the Society are entrusted to the Executive Committee in                      accordance to the Rules and Regulations of the Society. The name and description of the              present members of the committee of the Society as constituted at the time of

Rules and Regulations

of

Bangladesh Food and Nutrition Society (BFNS)

 

(Under Society Registration Act XXI of 1860)

 

  1. Name of Society: Name of Society is the Bangladesh Food and Nutrition Society (BFNS)

 

  1. Definitions:

In these Rules and Regulations, unless there is something in the subject or context

inconsistent therewith:

  1. a) The Constitution shall mean the Memorandum of Association and the Rules and

Regulations of Bangladesh Food and Nutrition Society (BFNS) as Society framed or as altered by a resolution of General Meeting of Society from time to time.

  1. b) The Society means the Future Welfare Society
  2. c) Register means the books as mentioned in the Rules and Regulations of the Society.
  3. d) Committee means the Executive Committee of the Society.
  4. e) Seal means the common seal of the Society.
  5. f) Year means the financial year of the Society.
  6. g) Office bearers means the Chairman, Secretary, Treasurer of the Society.

Words importing the singular number include plural number and vice versa and words

importing a masculine gender include the feminine gender.

 

  1. Rules and Regulations :

The Rules and Regulation for the institutions and administration of the Society will be empowered by 3 (Three) of the Executive Committee including 3 (Three) office bearer etc designated by Chairman, Secretary, and Finance Secretary. They will enact and sanction rules and regulations as required from time to time in harmony with this Memorandum of Association.

 

  1. Society Status.

A non-profitable, non‑political, non‑governmental and charitable Society.

 

  1. Members / Membership.

Any citizen of Bangladesh / religion, cast and creed will be able to be member if ;

  1. Agrees to abide by the Memorandum of Association and Constitution of the Society and intend to devote him / herself for the welfare service.
  2. If the Society approves his / her prayer on his/her application in the specific form of the Society.
  3. If agrees to the pay Tk.1,00/‑ as admission fee and Tk. 200/‑ as yearly subscription as fixed by the Executive Committee.
  4. Membership may be given for different project separately.
  5. Executive Committee may select any person to be a member or a life member.

 

  1. Register:

The Executive Member shall maintain an official Register to enter the name, nationality,      educational qualification and other relevant information about the member. The Register shall be kept up-to-date by making necessary correction if needed.

 

  1. Advisory Board:

Executive Committee will be able to constitute Advisory Board comprising renowned person under specific rule. Advisory Board Shall have 10 (Ten) members.

 

 

 

 

  1. Fund:
  2. Subscription and grant donation of members, workers, supporters and well wishers.
  3. Grant and donation of local and foreign donor agencies (according to foreign donation voluntary activities) regulation ord. 1978 shall be obeyed.
  4. Grant and donation of the government.
  5. Grand and donation of Executive Committee and other persons.

 

  1. Expenditure:
  2. Any amount may be spent legally as per decision of the Executive Committee if not                        contrary to the constitution.
  3. Tk. 20,000/‑ (Tk. Twenty thousand) may be spent on the spot as per decision of the                         Chairman for the work of the Society of the same shall have to be approved in the                              next meeting of the Executive Committee.
  4. The rules for expenditure in different offices and branches of the Society will be

fixed by the Executive Committee.

  1. No expenditure shall be incurred which is contrary to the constitution

 

  1. Maintaining Bank Account:
  2. One/more than one account may be opened in any schedule bank in the name of the                        Society.
  3. Bank account will be opened by the joint signature of the Chairman, General Secretary  and Finance Secretary.
  4. If necessary separate accounts may be opened in the name of the each project as per                      approval of the Executive Committee.
  5. Separate account may be opened in the name of different office/branch or the project.                     In the order to open such account the decision of the Executive Committee will have to                                be observed.

 

  1. Audit of the Accounts:
  2.  Accounts of the Society will have to be audited by Audit Firm appointed by the

Executive Committee

  1. Internal audit may be done by the body constituted with more than one member.
  2. All audit report must be submitted to the executive Committee.

 

  1. Founding Member:
  2. Founding members are the Executive Committee of the Society. Executive Committee will be composed of 7 (Seven) members. The members of EC shall be elected for 5 (five) years. They may be re-elected.

  1. Executive committee will work for implementation of the aims & objectives and                            program of the Society.

 

iii.      Will undertake policy making, initiative and other works.

 

  1. Will co-operate, consult and supervise the work of officers and staff.

 

  1. Generally there will be one meeting every month. The meeting may be held any time

as and when necessary.

 

  1. Will preserve accounts of assets, income, expenditure of the Society.

 

 

 

vii.       Management of office, running activities properly, extension of Society, execution of aims, objectives, program and projects or in case of necessity will prepare rule,       by-rule and approve same and will run the work as per rules prepared.

 

 

viii.       If any member of the Executive Committee resigns, released of if the post becomes                 vacant for any reason then the Executive Committee will decide to fill the position.

 

  1. Executive Committee will be able to appoint, nominate officers and staff who are                        necessary for the Society.

 

  1. Responsibilities of the Executive Committee.
  2. Chairman–He will be the Constitutional head of the Society. He will perform necessary Contact, execute documents, and collect fund. He will be the executive head of the Society and will remain in that position. He will execute contracts, agreement, sign documents, and perform all other works for the interest of’ the Society. He run all activities of the Society. He will preside over each meeting. He will contact negotiate and consult with every body for overall development of the Society. He will give co-operation to all members and officers for proper implementation of various projects of the Society.

ii        General Secretary – General Secretary will act with full authority in absence of the                         Chairman. General Secretary will advise and assist the chairman in all activities of the                                  Society. He will supervise all administrative works. He will prepare projects and will                            co‑ordinate activities for their implementation. He will call meetings after discussion with                    the Chairman will prepare the agenda of the meetings. He will collect and preserve all      necessary papers and documents of the Society. He will write administrative                              letters to various government and non-government Society. communicate with                               the same and maintain documents of such activities for ready reference.

iii.      Finance Secretary   – He will keep record for all income and expenditure. He will       prepare budget and also prepare audit report for approval. He will maintain bank account alongwith chainman and general secretary.

 

  1. Organizing Secretary – She/He will organize all the sub committee and assist chairman and general secretary.

 

  1. Publishing and publication secretary – She / He will responsible for all type of publication and publicity and will assist chairman and general secretary.

 

  1. Vice Chairman – He will assist chairman and will preside in the meeting in absence of chairman.

           vii.       Member-Executive committee will work for implementation of the aims & objectives

                      objectives and program of the Society.

16.        Term of Office

Term of office will be for 5 (Five) years for all Executive Committee members. Any Executive Committee member may seek re-appointment to the Executive Committee at the expiry of this term.

 

  1. Cancellation of membership from the Committee.
  2. If engaged in any activity contrary to the Memorandum of Association and Rules and Regulation and against the Society..
  3. In case of death or resignation.
  • In case of insanity.
  1. In case of failure to pay subscription for consecutive 1 year.
  2. In case of bankruptcy.

 

  1. Filling the Vacant Position.

If any position falls vacant due to any reason then the same will be filled in by the existing Executive Committee members by a suitable member acceptable to the Executive Committee.

 

 

  1. Special Power.
  2. In case of any serious problem, or situation and if there is no specific solution in the constitution or if any problem arises in any matter relating to constitution then the Executive Committee will take final decision in this respect.

 

  1. In case meeting of the Executive Committee is not possible due to any reasons then the Chairman will take decision if not contrary to society or constitution but the same will have to be approved in the next Executive Committee meeting.

 

  1. Revision .

Revision of Memorandum of Association and Constitution, addition, alteration and extension of the Memorandum of Association and Rules Regulation may be done in the interest of the society with 3/5 majority of the members present in the meeting.

 

  1. Publicity and Publication.
  2. Executive Committee will be able to print and publish any material if it is needed for the

 

  1. The Society will be able to publish periodicals, bulletins, magazines, and video films.

 

  1. Annual General Meeting.

The Annual General meeting shall be held once in every calendar year.

 

  1. Quorum.

Quorum 3/5th Members present in person shall form Quorum for General Meeting & Executive Committee Meeting.

 

  1. Appointment and Pay and allowance.
  2. Executive Committee will be able to appoint necessary number of officers, program workers and staff for implementation of aims and objectives of the Society.
  3. Executive Committee will be able to constitute appointment board comprising minimum 3(three) members if necessary. If any contrary Secretary is empowered to take decision.
  • Members of Executive Committee will give honorary service. But as per decision of the Executive Committee they will get pay and allowance fixed by the Executive Committee. If necessary Secretary will be hole timer and will get pay and allowance fixed by the Executive Committee.
  1. All the officers program workers and staff of the project will be appointed according to appointment rule and pay-scale prepared by the Executive Committee and they will get pay and allowances. But there will be provision of voluntary service considering the position of the Society. Appointment letters of all officers and staff of the Society will be signed by the Secretary.

 

Requisition Meeting

 

  1. If meeting is not called as per provision of the constitution the 2/3 members of the concerned body

will demand meeting in writing to the Executive committee and the executive Director will give                  notice of the meeting within 21 days the meeting is not called within 1 days then the applicants          requisition meeting will themselves call a meeting. Quorum of the meeting will be presence of 2/3    members of the concerned body. Basis of decision will be the vote of the majority.

 

  1. Amendments:

These Rules and Regulations of the Earth Focus may be amended at any General Meeting of the Society or an Extra-ordinary General Meeting called for specifically amendment purpose and can be carried by 3/5th (three-fifth) majority of the members present.

 

  1. Delegation of power:

 

(1)     The Executive Committee may delegate powers to Sub-Committees consisting of such member or members as the Executive Committee may deem fit. A Sub-Committee may deem fit shall confirm to any regulation that may be imposed on them by the Executive Committee. The Secretary of a Sub-Committee shall be a member of the Executive Committee.

 

(2)     The Secretary of a Sub-Committee shall preside at all meetings of the Sub-Committee. If at any meeting the Chairman is not present within 15 (Fifteen) minutes after the appointed time for holding the meeting, the members present shall choose one of their members to preside over the meeting.

 

(3)     A Sub-Committee shall meet and adjourn, as they think proper. Questions arising at any meeting shall be determined by a majority of votes of the members present by a show of hands. In case of equality of votes, the Secretary shall have a second or casting vote.

 

  1. Acts done in Good Faith:

 

            All acts done in good faith by any meeting of the Executive Committee or of any Sub-Committee of the Executive Committee, or Sub-Committee shall, not withstanding that it be afterwards shows there was some defects in the election or nomination of members or members of the Executive Committee or the Sub-Committee concerned, be as valid as if every such person had been duly elected or nominated as qualified to be a member of the Executive Committee or the Sub-Committee concerned.

 

  1. Seal:

The Seal of the Society shall be kept in custody of the Executive Member and he will sign contracts or any other documents on behalf of the Society.
